Our Capital Markets team is an extremely successful group that has a national reputation for providing excellent service at very reasonable cost.
The team is headed by Adrian Possener, who has 30 years of experience in the capital markets sector, both in London and the eastern region. As a result, the team is able to provide extensive expertise and insight at regional fee rates. It is a balance of service that many clients are very attracted to and results in a loyal client base – clients that use the team rarely change lawyers away from Birketts.
We value long term relationships and are willing to invest time and resources at the outset of a transaction in order to properly understand a client’s business and objectives. We find this leads to strong and long-lasting relationships between clients and their lawyers.
Public Share Issues
Our team can advise and act on capital market flotations on various stock exchanges, including the Official List and the Alternative Investment Market (AIM), whether for Initial Public Offerings, Introductions, Placings, Secondary Issues or other types of offerings.
We also advise on continuing obligations under relevant regulatory and statutory frameworks.
Unlisted share offers
We regularly act for companies raising finance by share issue programmes, including for Enterprise Investment Schemes and unlisted share issues. We have extensive experience of new emerging companies to raise working capital by share issues, particularly in the technology sector, including information technology, and the property development sector.
Public company takeover offers
We act for both bidders and targets on public company takeovers, including by way of schemes of arrangements. We regularly deal with the Takeover Panel during the course of a takeover or in relation to the structuring of takeover offers. We are also able to assist a public company in producing a bid defence handbook.
Our Capital Markets lawyers regularly advise on various aspects of corporate groups, including restructuring and shareholders relationships and corporate governance.
We advise directors on their duties, including capital market regulatory aspects and in particular the considerations and roles for non-executive directors.
