Caroline Geater 

Caroline Geater is a Legal Director specialising in employee share plans and incentives, with experience advising listed companies, private businesses and senior executives. She joined Birketts in May 2026 and is based in Sevenoaks. 

She provides pragmatic, commercially focused advice on the design, implementation and operation of a broad range of incentive arrangements. Caroline has particular expertise in supporting clients through corporate transactions and ensuring that incentive arrangements operate effectively throughout their lifecycle.

Caroline advises on a wide range of employee incentive matters, including: 

• The design and implementation of tax-advantaged and non-tax advantaged share plans, including EMI, CSOP, SIP, LTIPs and management incentive plans.  

• The treatment of incentive awards in the context of corporate transactions, including IPOs, mergers and acquisitions, take-privates and restructurings.  

• The operation and governance of share plans across their lifecycle, including dealing with plan issues as they arise.  

• Advising on carried interest arrangements and incentive structures in partnership contexts.  

She has experience working closely with a range of stakeholders, including senior management teams, HR professionals and international advisers, delivering clear and practical advice in fast-paced and often complex environments.

Caroline was named as an ‘Associate to Watch’ by Chambers & Partners for five consecutive years in employee share plans and was recognised as a ‘Rising Star’ by Legal 500 for three consecutive years whilst working for a leading London law firm.
