Birketts has advised the Vanderkamp Group on the UK aspects of its sale to, and reinvestment in, Workdry International as backed by its independent fund manager Arcus Infrastructure Partners.
Vanderkamp is a Netherlands-based temporary pumping solutions specialist. The sale and re-investment will see the group’s offering of rental solutions for the handling and treatment of water and wastewater to be strengthened, and for the already world-class technical team and engineering solutions to be further improved.
Vanderkamp’s operations will continue under the name Vanderkamp – The Dutch Water Engineers, and the UK-based activities will gradually be integrated into Workdry’s existing UK operations.
The Birketts team was led by Matthew Stratton (Partner, Corporate) and Adam Jones (Partner, Head of Private Equity) and supported by Harry Close (Solicitor, Corporate), Faye Power (Solicitor, Corporate) and Louisa Saunders (Legal Director, Commercial Property/ Charities).
Birketts and Vanderkamp’s Netherlands advisers, KienhuisHoving, worked together to secure the successful completion of the sale and re-investment and achieve the best outcome for Vanderkamp’s continued growth.
Rick van der Kamp, current CEO at Vanderkamp said: “We are proud to join the Workdry family which will accelerate our global ambitions as The Dutch Water Engineers. Expanding our knowledge and technology will strengthen our leading position in the market of temporary pump solutions, retaining our down to earth, Dutch approach to solving complex problems with our typical Vanderkamp DNA.
My thanks goes to the Birketts team for their help with navigating the UK elements of this transaction and for their clear advice on the private equity aspects of the re-investment. Birketts worked seamlessly with our Dutch advisors to ensure a timely and successful closing of the deal.”
Commenting on the deal, Matthew Stratton, Partner at Birketts said: “Birketts is delighted to have had the opportunity to advise on the English law elements of the sale of the business to Workdry. Vanderkamp is a market-leading performer in the pumping solutions sector and this transaction positions it extremely well for continued growth and success.”
Adam Jones, Head of Private Equity at Birketts added: “The re-investment into Workdry
demonstrates our client’s continued ambition to contribute to Vanderkamp’s growth. Birketts’ familiarity with private equity transactions helped to facilitate the rapid agreement of the deal documentation, and further builds on our strong reputation in this field.”
