Good, efficient due diligence is essential and we assist our corporate team by drafting and advising on employment indemnities and warranties in share sale and asset purchase agreements as well as producing other agreements that might be relevant to a transaction such as consultancy agreements, executive service agreements, fixed term contracts and settlement agreements.
A significant part of many corporate transactions are the Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE) and their effect on the proposed deal. We have plenty of experience in the collective consultation process transfer and managing the changes to the employment relationship post-TUPE transfer.
