Thomas Utting

Tom joined Birketts in November 2018 having qualified as a solicitor in July 2018. Tom is a Senior Associate in our Corporate Team and is based in our Chelmsford office.

Tom specialises in corporate transactional work and has experience advising on both share and asset acquisitions and disposals on both cross-border and UK-based deals. Tom has a particular interest in private equity and has advised on investments for a number of private equity funds.

He also advises on corporate governance matters such as shareholders’ agreements, articles of association and partnership agreements as well as general corporate matters such as allotments of shares, share buybacks and re-organisations. Part of his role involves liaising with colleagues across a number of other practice areas including the Real Estate , Employment and Tax teams.

Recent work highlights

Delenco Foods Ltd – Advising the the Barber family on their sale of Delenco Foods Limited, a well‑established supplier in the food sector, to Red Sky Food Group. The transaction marked an important milestone for the Barber family, who have successfully grown Delenco Foods into a respected business within the industry. Red Sky Food Group’s acquisition will support the company’s continued development and expansion.
YFM Private Equity – Advising YFM on its successful investment into Omne Agency Limited, demonstrating the firm’s continuing relationship with YFM, who specialise in facilitating management buyouts and securing growth capital opportunities for businesses across all sectors. Birketts advised on all elements of the transaction, including due diligence, disclosure equity documents and all other key transaction documentation.
Euronext NV – Advising the leading pan-European market infrastructure, Euronext, on its acquisition of Global Rate Set Systems. The acquisition expanded and enhanced Euronext’s index franchise, positioning the Group as a leading player in the calculation and administration of Interbank Offered Rate (IBOR) indices. GRSS provides mission-critical services to the benchmark administrators that produce three of Europe’s critical interest rate benchmarks.
